Terms and Conditions

These Terms and Conditions ("Terms") govern the relationship between Levarus Solutions Private Limited ("Levarus," "we," "us," or "our") and any client, prospect, or organization ("Client," "you," or "your") that engages with us through www.levarusforce.com (the "Site") or enters into a Salesforce implementation, support, licensing, or consulting engagement with us. These Terms work alongside our Terms of Use, Privacy Policy, Disclaimer, Code of Conduct, and Refund Policy, all of which form part of our overall Site terms.
Where you enter into a signed proposal, Statement of Work ("SOW"), or Master Services Agreement ("MSA") with Levarus, the terms of that signed document will govern the specific engagement and will prevail over these general Terms and Conditions in the event of any conflict.
1. About Levarus
Levarus Solutions Private Limited is a technology consulting company headquartered at Olympia Technology Park, Level 5, Fortius Block, Guindy, Chennai – 600 032, India, with branch operations in Dubai (U.A.E.), New Jersey (U.S.A.), and Winnipeg (Canada). Levarus is a Salesforce Summit (Platinum) Partner, with additional credentials including Oracle FLEXCUBE implementation partner status and SAP partnerships, serving clients across banking, government, healthcare, manufacturing, telecom, and retail sectors.
2. Scope of Services
Levarus provides Salesforce implementation, configuration, customization, post go-live support, license reselling, and related consulting services, as well as services relating to Oracle FLEXCUBE, SAP, Tableau, and other platforms as applicable. The specific scope, deliverables, timelines, assumptions, and exclusions for any engagement will be defined in a separate SOW, proposal, or MSA agreed in writing between Levarus and the Client.
3. Proposals and Quotations
Any proposal, quotation, capability deck, or pricing information shared via the Site or in correspondence is provided for discussion purposes and is non-binding until formally accepted in writing through a signed SOW, MSA, or purchase order. Pricing, partner tier benefits, and resource availability may change and are subject to confirmation at the time of contracting.
4. Client Responsibilities
To enable successful delivery, the Client agrees to:

Provide timely access to relevant systems, data, personnel, and decision-makers required for the engagement.

Provide accurate business requirements and promptly review and approve deliverables within agreed timeframes.

Maintain appropriate Salesforce (or other platform) licenses required for the engagement, unless these are being procured through Levarus.

Ensure that any data shared with Levarus is provided in compliance with applicable data protection and sector-specific regulations (e.g., banking or healthcare data rules).
5. Fees and Payment
Fees for Services will be set out in the applicable SOW, MSA, or invoice. Unless otherwise agreed in writing:

Invoices are payable within the timeframe specified in the relevant agreement (commonly 15–30 days from invoice date).

Fees are exclusive of applicable taxes (such as GST), which will be added where applicable.

Late payments may attract interest or suspension of services, as specified in the applicable agreement.

Refunds and cancellations are governed by our separate Refund Policy.
6. Intellectual Property
Unless otherwise agreed in a specific SOW or MSA:

Pre-existing Levarus methodologies, tools, templates, accelerators, and know-how remain the property of Levarus.

Salesforce, Oracle, SAP, and other third-party platforms and their intellectual property remain the property of their respective owners; Levarus's role is limited to implementation, configuration, and consulting services on top of these platforms.

Client-specific configurations and deliverables created specifically for the Client under a paid engagement will be owned or licensed as set out in the applicable SOW/MSA.
7. Confidentiality
Both Levarus and the Client agree to keep confidential any non-public business, technical, financial, or customer information disclosed during the course of an engagement, and to use such information solely for the purposes of the engagement, except where disclosure is required by law or regulation. Specific confidentiality obligations, including duration, will typically be set out in a Non-Disclosure Agreement ("NDA") or within the SOW/MSA.
8. Data Protection
Levarus will handle personal and business data shared by the Client in accordance with its Privacy Policy and applicable data protection laws in the relevant jurisdiction(s), including any sector-specific requirements applicable to banking, government, or healthcare clients. Where required, Levarus will enter into a Data Processing Agreement with the Client.
9. Warranties and Disclaimers
Levarus will perform Services using qualified, appropriately certified personnel and in a professional and workmanlike manner consistent with prevailing industry standards. Except as expressly stated in a signed SOW or MSA, Services and the Site are provided without other warranties, express or implied, to the fullest extent permitted by law. 10. Limitation of Liability
To the fullest extent permitted by applicable law, and except as otherwise expressly set out in a signed SOW or MSA, Levarus's aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by the Client to Levarus for the specific Services giving rise to the claim in the preceding twelve (12) months. Neither party shall be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or data, except where such exclusion is not permitted by applicable law.
11. Termination
Either party may terminate an engagement in accordance with the termination provisions set out in the applicable SOW or MSA, typically requiring written notice. Upon termination, the Client will pay for all Services rendered and expenses properly incurred up to the effective date of termination.
12. Force Majeure
Neither party will be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, war, civil unrest, government action, internet or utility outages, or other force majeure events.
13. Governing Law and Dispute Resolution
These Terms, and any engagement entered into via the Site or through Levarus Solutions Private Limited (India), are governed by the laws of India, with disputes subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India. Engagements contracted directly with Levarus's branch entities in the UAE, USA, or Canada may instead be governed by the laws and courts applicable to that respective entity, as specified in the relevant SOW or MSA.
14. Assignment
Neither party may assign or transfer its rights or obligations under these Terms or any related SOW/MSA without the prior written consent of the other party, except in connection with a merger, acquisition, or sale of substantially all assets.
15. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Terms of Use, Disclaimer, Code of Conduct, Refund Policy, and any signed SOW or MSA, constitute the entire agreement between Levarus and the Client with respect to the subject matter herein, and supersede any prior understandings or agreements, whether written or oral, relating to that subject matter.
16. Changes to These Terms
We may revise these Terms and Conditions from time to time. The updated Terms will be posted on this page with a revised "Effective Date" and will apply to new engagements from that date; existing signed agreements will continue to be governed by the terms in force at the time of signing, unless both parties agree otherwise in writing.
